随着公司所有权和经营权分离,所有者与管理者之间形成了委托——代理关系,管理者为了实现自身效用最大化,必然对股东权益有一定程度的损害,为了有效解决这一问题,美国大型公司率先采用了股权激励模式,并迅速扩大到全球经济较发达的国家和地区,在取得较好激励效果的同时也提升了公司的业绩,从而使股权激励成为目前世界各国上市公司最为关注的激励模式。本文主要从利泰公司存在的问题,及其原因,还有对策行了分析,并就如何选择合理的激励模式提出一些建议,希望对国内上市公司提供一些借鉴。

Abstract
With the separation of ownership and management, principal — agent relationship between owners and managers, managers in order to maximize their own, there must be a certain degree of damage to the interests of shareholders, in order to solve this problem, American Large Firm rate firstly adopt the stock option incentive mode, and quickly expanded to more the global economy of the developed countries and regions, in obtaining good incentive effect but also enhance the company’s performance, so that the equity incentive becomes the world listing Corporation most incentive mode concerned. In this paper, 31 December 2012 355 companies in China’s gem related data as the basis, the implementation of incentive to the status of the growth enterprise market of listing Corporation equity, problems were analyzed, and put forward some suggestions on how to select the reasonable equity incentive model, hope to provide some reference for domestic listing Corporation.
