摘  要

当商品房买卖合同中的违约行为时,其中损害赔偿责任是最主要的法律责任之一。但是由于我国不动产立法的不完善加之诸多购房者对于我国商品房买卖的相关法律知识缺乏基本的了解,以至于商品房买受人在如何维护自己的合法权益上感到不知所措。本文将结合实际案例立足理论加以探析,以商品房买卖合同违约法律救济中损害赔偿为出发点,来阐述我国关于商品房买卖合同中的违约损害赔偿制度该如何进一步完善。全文分为三个部分,重点为两个部分:

第一部分前言主要通过一个商品房买卖合同的违约的案例来引出关于商品房买卖合同中违约损害赔偿的问题,并提出了本文的中心论点,为下一步更深入的研究奠定基础。

第二部分是本文的本论部分,介绍了各方面的研究方法和结果,并对本文的中心论点进行了具体论证。主要从商品房买卖违约损害赔偿的方式以及范围的界定和损害赔偿的限制这三个方面进行分析。商品房买卖合同违约损害赔偿的主要方式为金钱赔偿。其范围主要是全部赔偿原则为指导;其中对于精神损害赔偿的可行性进行了分析。对于限制主要是可预见原则的限制以及例外。阐述了我国商品房买卖合同违约损害赔偿的弊端以及完善建议。结合前面分析得出我国在商品房买卖合同违约损害赔偿中的不足之处,主要体现为,对权利第三方的保护缺失,范围的模糊性以及计算方式的不明确等等,进而探讨如何从立法上完善关于该类违约损害赔偿范围、计算方式等的规定以及实践上加强监督等方式来完善该制度。
